By using these fonts you are agreeing to abide by the terms of this licence. You should read it, as your agreement to its terms will be assumed. If you do not understand the terms of this licence, you should review it with a lawyer. This Licence Agreement will be enforceable just like any written agreement signed by you. If you are not in agreement with terms of this licence, you must return the fonts immediately, and a full refund will be made.

LICENCE: You are hereby granted a non-exclusive licence to use these fonts for an indefinite period of time. You do not own the fonts. Ownership of the fonts and all intellectual property rights relating thereto remains with Quadrat Communications. You are simply licensed to use them. The terms of such licence to use same are as follows:

  1. You may use these fonts on up to as many workstations as your receipt, which must be attached hereto as Schedule "A", indicates that you have purchased licences for, within a single business or residential premises. In the absence of a receipt being attached as Schedule A, you will be deemed to have not purchased any licences whatsoever, and your use of these fonts is strictly prohibited.
  2. A workstation is a single computer, including any peripherals such as printers and monitors which specifically relate to such single computer. You may count a portable computer as one of your licensed workstations in the event that such portable computer is regularly used at the premises.
  3. The fonts may also be used at a single output site. An output site is defined as a service or business located outside the premises, which is used for high resolution or other types of output which cannot be accomplished at the worksite. Use at such an output site may be in addition to the number of workstations authorized under this licence, but the fonts must be immediately and fully removed from the output site upon the completion of the work for which they are required.
  4. You may install the fonts on a network server, but in the event that you do so, the network server shall be counted as one of the licensed workstations. The total number of computers or workstations which are connected to the server and using the fonts may not exceed the number of workstations for which you have purchased licences, as evidence by your receipt attached hereto, less one, to account for the network server installation.
  5. You may use the fonts in any of their supplied formats, but the total number of workstations with all formats combined may not exceed the number of workstations for which you have purchased licences, as evidenced by your receipt attached hereto as Schedule A. You may use these fonts on any appropriate computing platforms.
  6. Any modifications that you make to these fonts are governed under the terms of this licence.
  7. Embedding of these fonts in other documents is expressly prohibited, except to the extent that same is permitted by the software. Any alterations to the font to allow a greater level of embedding is a breach of this licence and will result in, among other things, the immediate termination of same.
  8. You may make a single copy of the fonts for archival purposes.
  9. You may not transfer this licence to use the fonts to a third party unless you first destroy all copies of same in your possession.
  10. Any other use whatsoever of the fonts is a breach of this licence, and Quadrat Communications shall take immediate action to rectify such breach. If you breach this licence, you must immediately either return all fonts in your possession to Quadrat Communications, or destroy same.
  11. For greater certainty, this licence shall terminate upon:
    1. any breach of the terms of use set out above;
    2. your transferring the fonts to a third party without destroying all copies in your possession; or
    3. any other breach of this Licence Agreement whatsoever.

LICENCE NOT ASSIGNABLE: This licence is personal to you, and you may not assign this licence to any other person unless such other person agrees to be bound by the terms of this licence and you first destroy all copies of the fonts in your possession. You must advise Quadrat Communications immediately of any such assignment.

LICENCE NOT SALEABLE: You may not sell this licence, or sell or distribute in any way the fonts governed hereunder, or any modified form of such fonts.

NO USE WITHOUT PAYMENT: In the event that Quadrat Communications discovers that you are using the fonts without remitting the appropriate payment for same, you will forthwith be required to remit payment for the number of licences required for such use, at twice the then-current licence cost.

REMEDIES FOR BREACH OF LICENCE: You hereby agree that monetary damages are insufficient to compensate Quadrat Communications for any breach of this licence. You agree that irreparable harm would accrue to Quadrat Communications in the event of such breach. In the event that this licence is breached in any way, Quadrat Communications shall have the immediate right to seek an injunction to stop such breach, without prejudice to any other legal or equitable rights and remedies that it may have.

INTELLECTUAL PROPERTY RIGHTS: The fonts and any copies that you are authorized by Quadrat Communications to make are the copyrighted material, intellectual property of and are owned by Quadrat Communications. The structure, organization and code of the fonts are the valuable trade secrets, confidential and proprietary information of Quadrat Communications. The fonts are protected by copyright. You may not copy the fonts.

LIMITATION OF LIABILITY: You agree to use these fonts at your own risk. This software is provided on an "as is" basis. It is your responsibility to ensure that you have the proper hardware and safeguards in place to properly use these fonts.

GOVERNING LAW: This licence agreement and all matters relating to same shall be governed in accordance with the laws of the Province of Ontario, regardless of the geographical region in which you are using the fonts. Any dispute or matter arising from this licence agreement or your use of these fonts shall be determined in the Courts of the Province of Ontario.

SEVERABILITY: If any provision of this Licence Agreement is determined to be invalid, void or unenforceable, it shall be severed from the remaining agreement. The remaining provisions of this Agreement shall continue in full force and effect.

WAIVER: No waiver by either party of any term or provision of this Agreement, whether express or implied, shall constitute a continuing waiver of such term or provision, or a waiver of any other term of this Agreement.

ENTIRE AGREEMENT: This Licence Agreement contains the entire agreement between the parties. No collateral warranty or agreement, or previous agreement of any sort, whether written or oral, shall have any effect whatsoever.

FONT LICENCE

The standard Quadrat font licence agreement, shown at the left, allows you to install and use the fonts on up to 6 computers and allows temporary use at a service bureau. If you need extended licensing, various options are available during purchase.
